GENERAL TERMS AND CONDITIONS OF SALE FOR THE SPAINDUSTRY ONLINE STORE

These General Terms and Conditions of Sale (hereinafter the “Terms”) govern the use of the SpaIndustry online store available at https://spaindustry.eu, the placement of orders and the purchase of products from SpaIndustry OÜ.

The online store offers products from KRX Aesthetics, CORTHE and Beauty Spa.

Before placing an order, the Buyer must read these Terms. By placing an order through the online store, the Buyer confirms that they have read, understood and accepted these Terms.

SpaIndustry OÜ is hereinafter referred to as the “Seller”.

  1. DEFINITIONS

2.1. Online Store means the SpaIndustry website available at https://spaindustry.eu.

2.2. Buyer means any natural or legal person who places an order through the Online Store.

2.3. Consumer means a natural person who purchases products mainly for purposes unrelated to their business, commercial or professional activity.

2.4. Professional Buyer means a natural or legal person who purchases products in connection with their commercial or professional activity, including aestheticians, cosmetology professionals, beauty salons and aesthetic clinics.

2.5. Product means any cosmetic product, accessory or other item from KRX Aesthetics, CORTHE or Beauty Spa offered in the Online Store.

2.6. Professional Product means a product intended exclusively for use by qualified professionals in accordance with professional protocols and applicable instructions.

  1. SCOPE OF THE TERMS

3.1. These Terms apply to all orders placed through the Online Store.

3.2. If the Buyer purchases Products for purposes related to their business or professional activity, the order is considered a B2B commercial transaction.

Consumer protection provisions, including the Consumer’s right to withdraw from a distance contract within 14 days, do not apply to B2B orders unless otherwise expressly required by law or separately agreed with the Seller.

3.3. In relation to Consumers, these Terms apply subject to the mandatory provisions of European Union law and the law of the Consumer’s country of habitual residence.

3.4. If the specific terms of a promotion, special offer or professional programme differ from these Terms, the relevant specific terms apply, provided that they were communicated to the Buyer before the order was placed.

  1. PROFESSIONAL PRODUCTS

4.1. Some Products offered in the Pro shop section are intended exclusively for professional use by aestheticians, cosmetology professionals, beauty salons and aesthetic clinics.

4.2. To obtain access to Professional Products and professional prices, the Seller may request evidence of the Buyer’s qualifications or professional status, including a diploma, certificate, business registration details or a link to a professional page.

4.3. The Seller may refuse to sell a Professional Product to a person who has not provided evidence of the required qualifications or professional status. If payment has already been made, the corresponding amount will be refunded to the Buyer using the same payment method.

4.4. The Professional Buyer undertakes to:

  • use the Products only for their intended purpose and in accordance with the manufacturer’s instructions and professional protocols;

  • independently assess the indications and contraindications;

  • comply with the laws and professional standards of the country in which the Product is used;

  • not provide Professional Products for independent use by persons who do not have the required qualifications.

4.5. The Seller is not liable for consequences resulting from improper storage, use for an unintended purpose or failure to follow the instructions or professional protocols, except where such liability cannot be limited by law.

  1. PRODUCT INFORMATION

5.1. The main characteristics, volume, intended purpose, method of use and price of each Product are stated on the relevant Product page.

5.2. Product images are for illustrative purposes. Minor differences in colour, packaging design or labelling that do not affect the composition, volume, safety or functional characteristics of the Product do not constitute a lack of conformity.

5.3. Before using a Product, the Buyer must read the information on the packaging, the instructions, method of use, warnings and contraindications.

5.4. Cosmetic Products are not medicinal products and are not intended to diagnose, treat or prevent diseases. Information provided on the website or in educational materials does not replace medical advice.

  1. PRICES AND TAXES

6.1. Prices are stated in euros.

6.2. Unless otherwise expressly stated on the website, the displayed prices include the applicable value-added tax.

6.3. Delivery charges are shown separately before the order is finally confirmed.

6.4. The total price of the order, including Products, discounts, taxes and delivery, is shown on the checkout page before payment is made.

6.5. The Seller may change prices and promotional conditions at any time. Such changes do not apply to orders that have already been confirmed and paid for.

6.6. In the event of an obvious technical pricing error, the Seller will inform the Buyer before dispatching the Product. The Buyer may confirm the order at the correct price or cancel it and receive a full refund of the amount paid.

  1. PLACING AND CONFIRMING AN ORDER

7.1. To place an order, the Buyer selects the Products, provides the required contact information and delivery address, selects the delivery and payment methods and confirms the order.

7.2. The Buyer must provide complete and accurate information. The Seller is not responsible for delays or inability to deliver caused by an error in the address, telephone number, email address or other information provided by the Buyer.

7.3. After an order is placed, the Buyer receives an electronic acknowledgement confirming receipt of the order.

7.4. The sales contract is concluded after the Seller confirms the order and successfully receives the payment, unless otherwise provided by the selected payment method.

7.5. All Products are offered subject to availability. If a Product is found to be unavailable after the order has been placed, the Seller will inform the Buyer and offer one of the following options:

  • wait until the Product is available again;

  • select another Product;

  • remove the unavailable Product from the order;

  • cancel the order in full or in part and receive a refund of the corresponding amount.

A Product will only be substituted with the Buyer’s consent.

  1. PAYMENT

8.1. Available payment methods are displayed during checkout and may depend on the Buyer’s country, the order value and the technical availability of the payment service.

8.2. Payment may be made by bank card, bank transfer, Shopify Payments, Klarna, Montonio, Inbank or other payment services displayed on the checkout page.

8.3. If the Buyer selects payment by instalments, deferred payment or financing, the decision to approve that payment method is made by the relevant bank or financial service provider.

8.4. The Seller does not make decisions concerning the granting of credit or instalment payments and is not responsible for a refusal by the financial service provider. The relationship between the Buyer and the financial service provider is additionally governed by the terms of the relevant provider.

8.5. The order will be processed after payment confirmation has been received, unless otherwise agreed with the Seller.

  1. DELIVERY

9.1. The Online Store delivers to the countries and regions available for selection during checkout.

9.2. Available delivery methods, estimated delivery times and delivery charges are displayed before the order is confirmed.

9.3. The stated delivery times are estimates and may change due to the operation of courier services, public holidays, customs procedures, force majeure events or other circumstances beyond the Seller’s control.

9.4. If delivery is significantly delayed, the Buyer may contact the Seller to check the order status and exercise the rights available under applicable law.

9.5. Upon receipt of the order, the Buyer is advised to inspect the external packaging. If visible damage is present, the Buyer is advised to photograph it and notify the courier and the Seller.

9.6. Failure to record damage at the time of delivery does not in itself deprive the Consumer of their statutory rights regarding a non-conforming Product.

9.7. The risk of accidental loss of or damage to a Product purchased by a Consumer passes to the Consumer when the Consumer or a third party designated by the Consumer, other than the carrier, takes physical possession of the Product.

  1. THE CONSUMER’S RIGHT OF WITHDRAWAL

10.1. The Consumer has the right to withdraw from a distance contract without giving any reason within 14 calendar days from the date on which the Product is received.

10.2. If Products from the same order are delivered separately, the withdrawal period begins on the date on which the Consumer receives the last Product.

10.3. To exercise the right of withdrawal, the Consumer must send the Seller an unequivocal statement of withdrawal before the expiry of the 14-day period by email to info@spaindustry.ua.

The Consumer may use the form provided at the end of these Terms, but use of the form is not mandatory.

10.4. After notifying the Seller, the Consumer must return the Product without undue delay and no later than 14 calendar days from the date on which the notice of withdrawal was sent.

10.5. Before sending a return, the Buyer must contact the Seller at info@spaindustry.ua and obtain confirmation of the warehouse to which the Product must be sent.

The return warehouse is determined according to the Buyer’s country and the warehouse from which the order was dispatched.

Returns of orders from Estonia, Latvia and Lithuania are generally sent to:

SpaIndustry OÜ and the order number must be stated on the return parcel.

Returns sent by cash on delivery are not accepted.

Failure to obtain prior confirmation of the return address does not invalidate a notice of withdrawal submitted within the applicable period, but it may cause delays in processing the return or additional costs if the Product is sent to the wrong warehouse.

10.6. The direct cost of returning a conforming Product is paid by the Consumer unless the Seller has expressly agreed to cover it.

10.7. The Consumer is responsible only for any diminished value of the Product resulting from handling beyond what is necessary to establish its nature and main characteristics.

10.8. If the Consumer withdraws from the entire order, the Seller will refund all payments received from the Consumer, including the cost of the least expensive standard delivery method offered when the order was placed.

10.9. Additional costs resulting from the Buyer’s choice of a more expensive delivery method are not refunded.

10.10. The refund will be made without undue delay and no later than 14 calendar days from the date on which the notice of withdrawal is received.

The Seller may withhold the refund until the Product has been received or until the Buyer provides evidence that the Product has been sent back, whichever occurs first.

10.11. The refund will be made using the same payment method used for the original transaction unless the parties have expressly agreed otherwise.

  1. EXCEPTIONS TO THE RIGHT OF WITHDRAWAL

11.1. The right of withdrawal does not apply in the cases provided by law, including:

  • sealed Products that are not suitable for return for health protection or hygiene reasons if the protective seal or sealed packaging has been opened after delivery;

  • Products made to the Buyer’s specifications or clearly personalised;

  • other cases expressly provided for by applicable law.

11.2. Opening ordinary transport packaging does not in itself deprive the Consumer of the right of withdrawal.

The exception may apply only to a Product with a protective seal or sealed packaging that, after opening, is objectively unsuitable for resale for health protection or hygiene reasons.

11.3. The 14-day right of withdrawal available to Consumers does not apply to B2B orders placed by Professional Buyers.

A conforming Product purchased as part of a B2B order may only be returned by prior written agreement with the Seller.

  1. NON-CONFORMING PRODUCTS AND COMPLAINTS

12.1. The Seller is responsible for the conformity of the Product with the contract and with mandatory legal requirements.

12.2. The Consumer may submit a complaint regarding a lack of conformity within the period prescribed by law. Under Estonian law, a Consumer may contact the Seller regarding a defect within two years from the date on which the Product was received.

12.3. If a Product is suspected to be defective, the Buyer is advised to stop using it and provide the Seller with:

  • the order number;

  • the name of the Product;

  • a description of the issue;

  • photographs or videos of the Product and its packaging;

  • the batch number stated on the packaging;

  • the requested solution.

12.4. Failure to provide photographs, videos or a batch number does not remove the Consumer’s statutory rights, but it may make it more difficult to verify the origin and cause of the issue.

12.5. If the Product does not conform to the contract, the Consumer may use the remedies available under applicable law, including replacement of the Product, a price reduction or a refund, where the relevant legal conditions are met.

12.6. The Seller bears the cost of returning a Product that is confirmed to be defective or was sent in error.

12.7. The Seller will respond to a Consumer’s written complaint no later than 15 calendar days after receiving it.

12.8. The Seller’s liability for lack of conformity does not apply to defects resulting from:

  • improper storage;

  • failure to observe the period or conditions of use after opening;

  • use for an unintended purpose;

  • failure to follow the instructions or professional protocol;

  • mechanical damage occurring after the Product was delivered to the Buyer.

12.9. Permissible natural variations in the fragrance, colour or consistency of a cosmetic Product do not constitute a defect if they are related to the characteristics of natural raw materials, remain within the manufacturer’s specifications and do not affect the Product’s safety, quality or functional characteristics.

  1. ONLINE COURSES AND EDUCATIONAL MATERIALS

13.1. The Online Store may contain links to online courses, webinars and other educational materials published on the external Kwiga educational platform.

13.2. Payment for paid online courses is not made directly through the SpaIndustry Online Store.

13.3. The purchase of a paid course on the Kwiga platform is governed by separate terms made available to the Buyer on the relevant platform before payment.

13.4. These Terms govern Product orders placed directly through the SpaIndustry Online Store and do not replace the separate terms applicable to the purchase of paid courses on the Kwiga platform.

13.5. Access to certain educational materials may be provided free of charge as an additional benefit linked to the purchase of specified Professional Products.

If no separate price is charged for access to such materials, they do not constitute a separate purchase.

13.6. All videos, texts, protocols, presentations, images and other educational materials are intended exclusively for the personal or professional use of the person to whom access has been granted.

13.7. Without the written permission of the rights holder, it is prohibited to:

  • transfer access details to third parties;

  • copy or distribute the materials;

  • publish the materials in full or in part;

  • resell access;

  • record or reproduce the materials;

  • use the materials to create separate commercial courses.

  1. INTELLECTUAL PROPERTY

14.1. The content of the Online Store, including texts, photographs, videos, design, logos, protocols and educational materials, is protected by intellectual property law.

14.2. Materials from the website may only be used for personal purposes connected with the selection and purchase of Products, unless otherwise expressly agreed with the rights holder.

14.3. The display of manufacturers’ trademarks and materials on the website does not grant the Buyer any rights to use them.

  1. LIABILITY

15.1. The parties are liable in accordance with these Terms and applicable law.

15.2. The Seller is not liable for delays or failure to perform its obligations caused by circumstances beyond its reasonable control, including interruptions to payment systems, courier services, telecommunications networks or public authorities, natural disasters, war, strikes and other force majeure events.

15.3. Nothing in these Terms limits the Seller’s liability where such a limitation is prohibited by law, including liability for intentional misconduct, gross negligence, death or personal injury, or the Consumer’s mandatory statutory rights.

  1. PERSONAL DATA

16.1. The Seller processes personal data in accordance with applicable law and the Online Store’s Privacy Policy.

16.2. The Privacy Policy is a separate document available through a permanent link in the footer of the website.

  1. CHANGES TO THE TERMS

17.1. The Seller may change these Terms due to changes in legislation, payment methods, delivery methods, website functionality or business processes.

17.2. A new version applies to orders placed after the date on which it is published, unless otherwise required by mandatory law.

17.3. Orders already placed are governed by the version of the Terms in force at the time the relevant order was placed.

  1. GOVERNING LAW AND DISPUTE RESOLUTION

18.1. Relations between the Seller and the Buyer are governed by the laws of the Republic of Estonia.

18.2. The choice of Estonian law does not deprive the Consumer of the protection provided by the mandatory laws of the country in which the Consumer habitually resides.

18.3. In the event of a complaint, the Buyer must first contact the Seller by email at info@spaindustry.ua.

18.4. The Seller and the Buyer will attempt to resolve any dispute through direct negotiations.

18.5. If a dispute with a Consumer cannot be resolved, the Consumer may contact the Estonian Consumer Disputes Committee operating under the Estonian Consumer Protection and Technical Regulatory Authority or, in the case of a cross-border dispute, the European Consumer Centre in the Consumer’s country.

18.6. A dispute may also be submitted to a competent court in accordance with the applicable rules of jurisdiction.

  1. FINAL PROVISIONS

19.1. If any provision of these Terms is found to be invalid or unenforceable, this does not affect the validity of the remaining provisions.

19.2. Section headings are included for convenience only and do not affect the interpretation of these Terms.

19.3. These Terms enter into force when they are published on the website.

APPENDIX: MODEL WITHDRAWAL FORM

This form is intended for Consumers only. Complete and send it to the Seller only if you wish to withdraw from a distance contract.
